How to sell unused software licences in India

Companies sometimes buy more software seats than they use: a team shrinks, a project is cancelled, or a vendor changes the product. Whether those licences can be resold depends on the licence terms. This guide explains what can be offered, what cannot, and how to describe a lot honestly.

By Sumit Rawat, founder of ClearLot. Updated 3 November 2026.

Short answer

You can offer surplus software only if the licence allows transfer or resale, you can prove you bought it, and it has not been activated or the vendor allows reassignment. Many subscriptions and single-user licences are tied to the original buyer and cannot be sold. Cracked, shared, leaked or pirated keys are never accepted. Read the licence terms, or ask the vendor, before you list.

Often possible to transfer (check the terms)

  • Unused boxed or retail licences, still sealed
  • Volume licences where the vendor allows reassignment or sale
  • Surplus seats from a licence you own outright, where the agreement permits transfer
  • Perpetual licences of software you are closing down, where the vendor has a transfer process

Usually not transferable

  • Monthly or yearly subscriptions tied to an account
  • Single-user licences tied to a person or company name
  • OEM licences that come with a device and must stay with it
  • Education, trial, NFR (not for resale) and promotional licences
  • Anything the vendor says is non-transferable

Never accepted

  • Cracked, leaked, shared or pirated keys
  • Keys of unknown origin
  • Licences bought with stolen cards or from unauthorised sources
  • Anything you cannot prove you own

What to put in the listing

  • Product name, edition and version
  • Number of licences or seats
  • Licence type: retail, volume, OEM, subscription
  • Whether it is activated, and whether the vendor allows transfer
  • Proof of purchase: invoice, licence agreement or vendor portal record
  • Remaining validity for subscriptions, if the vendor allows reassignment
  • How the transfer will be done, and who bears any vendor transfer fee

Who buys surplus software

  • IT resellers and system integrators
  • Small and mid-size businesses that need seats
  • Schools and training centres, where the licence terms allow
  • Managed-service providers

Safe way to do the deal

  • Agree in writing what is being transferred
  • Complete the transfer through the vendor wherever the vendor has a process
  • Pay against an invoice, to the seller's business account
  • Do not send or accept keys before the terms are agreed

How ClearLot helps

ClearLot lists only genuine, transferable licences, and our team checks every lot before it goes on the board. ClearLot is a free-to-list stock board in India. The seller's name, business name and phone number are not shown to visitors. When a buyer is interested, we speak to them first and then connect the two. ClearLot is not a party to the deal, does not issue or verify licence keys and cannot guarantee that a vendor will accept a transfer, so buyers must confirm that with the vendor.
